Confidentiality
Mutual nondisclosure agreement
Founders share unreleased ideas with us before we ever speak. These are the terms that protect that — in both directions, from the first message onward.
1. What counts as confidential information
Any non-public information either party shares with the other in connection with a potential or active partnership. This includes product ideas, concepts, specifications, designs, roadmaps, customer and prospect lists, pricing, financials, commercial terms, source code, and any materials marked or reasonably understood to be confidential.
2. How it is handled
Each party will keep the other's confidential information in confidence, use it only to evaluate and carry out the potential partnership, and protect it with at least the same care it uses for its own confidential information. Neither party will disclose it to anyone other than people who need it for that purpose and who are bound by equivalent confidentiality obligations.
3. What is not covered
Information that is already public through no fault of the receiving party, was already known to the receiving party without a confidentiality obligation, is independently developed without reference to the disclosed information, or is lawfully received from a third party free to disclose it.
4. Required disclosure
If a party is legally compelled to disclose confidential information, it may do so to the extent required, and will give the other party reasonable advance notice where it is legally permitted to do so.
5. Ownership
Sharing information does not transfer ownership. Each party keeps all rights in the information, intellectual property, and materials it discloses. Nothing here grants a licence beyond evaluating and carrying out the potential partnership.
6. Return or deletion
On written request, each party will return or delete the other's confidential information, other than copies retained automatically in routine backups or required for legal and record-keeping purposes, which remain subject to these terms.
7. Term
These obligations apply from the moment information is shared and continue for three years after the last disclosure, or for as long as the information remains a trade secret, whichever is longer.
8. No obligation to proceed
Acknowledging these terms does not commit either party to a partnership, an investment, or any other agreement. Any working relationship is governed by a separate signed agreement.
By checking the acknowledgment box on the application, you confirm that you have read and understood these terms and that they apply to everything shared between you and MaximasOne.
